| Arizona Cybermall Advertising Agreement Terms & Conditions Arizona Cybermall is a subsidiary of Western Spirit Productions (est. 1996) Sedona, Arizona USA Scope of Agreement: This agreement provides for a paid links offer between Arizona CyberMall ( Cybermall) and the Client's published web material. Definitions "Index Page" - means a page that is used as the clients default and / or main landing page. . "Banner" - means an active button or graphic on a web page linking to a Clients "index page". Banner Location Client may choose the page on the Cybermall site to have his/ her banner placed at the time application for the ad, based upon availability, from there it will be linked to the clients index page. Client Obligations As a Client you agree to: Pay the agreed linking charges. Notify CyberMall immediately of any change of URL address of Clients linked pages. Notify Cybermall of any change in Clients e-mail address as this is the primary contact method. or any defective links on the CyberMall pages pointing to the Client's index page. CyberMall's Obligations CyberMall agrees to use its best efforts to provide its web host link server availability to the Internet, 24 hours a day, 7 days a week. HOWEVER the web host link server may be taken off-line occasionally for short periods and CyberMall does NOT WARRANT that link server availability will be without interruption or errors. Cybermall agrees to make client aware of any changes in Cybermalls e-mail. Cybermall may not change or alter the Clients ad placement or content with out prior approval from Client. CyberMall's Rights CyberMall reserves the right to alter or adopt new charging schedules by giving notice to the Client six weeks prior to renewal date. CyberMall may deactivate links to any material that is unlawful, indecent, offensive or concerning which CyberMall has received complaints. CyberMall may request that the Client remove and/or modify to an acceptable standard any items that are unlawful, indecent, offensive or concerning which CyberMall has received complaints and may refuse to reactivate links to such material until such time as the requested deletions and/or modifications have been completed. Cybermall may refuse to include links within CyberMall entirely at it discretion. Fees & Payments The fee for this service is $25. USD per year. A year is from the date Client approves of the ads placement and content to that same date the following year. All charges are to be paid within 7 days of ad approval by client or otherwise as expressly agreed between Cybermall and Client. Failure to comply will be cause for removal of the ad. Refunds There are no refund provisions in this agreement. Duration This agreement shall apply between Cybermall and Client for the duration of the clients one (1) year term and should the Client reinstate his/her ad the agreement and any amendments to it will continue for the next term. Amendments The terms of this agreement may be amended by CyberMall giving six weeks' notice that amended terms and conditions are available on CyberMall's Web site. Notices Any written notices shall be by e-mail to the last known e-mail address of Cybermall or Client. This is a fairly simple agreement because we at the Arizona Cybermall intend for all parties involved to benefit from it.
